“SHE’S GOT THE LOOK” MODEL SEARCH (the “Contest”) OFFICIAL RULES No Purchase Necessary to enter or win. 1. Eligibility: The Contest is open to women at least 35 years of age and legal residents of, and residing in, the fifty (50) United States and District of Columbia. Employees, shareholders (excluding non-majority shareholders), officers, directors, agents or representatives of any person or entity connected with the Contest or the administration or judging of the Contest including, but not limited to, Wilhelmina Models, Inc. (“Wilhemina”), TV Land, MTV Networks, Viacom International Inc., Allison Grodner Productions, participating television stations, advertising agencies and corporate sponsors and their respective parents, affiliates, subsidiaries, agents and representatives, and the immediate families of the foregoing individuals (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and those living in the same household of such individuals (whether or not related) (collectively, the "Contest Entities”), are not eligible to enter or win. Void where prohibited or restricted by law. Contest is subject to all applicable federal, state and local rules and regulations. The decisions of Allison Grodner Productions (“Producer”) with respect to whether an entrant is eligible are final and binding. 2. To Enter: In order to enter the Contest, you will be required to: (i) attend one of the regional casting calls (as detailed in paragraph 3(a) below), and (ii) submit an original, signed copy of the Entry Form and Contestant Release and Waiver along with up to three personal photos (collectively, the “Entry Submission”). A copy of the Entry Form and Contestant Release and Waiver can be found on www.tvlandmodelcasting.com until October 8, 2008, or obtained at the regional casting calls. The Entry Form and Contestant Release and Waiver can be submitted as follows: (i) you can download and print the completed Entry Form and Contestant Release and Waiver from www.tvlandmodelcasting.com and mail both documents, fully-executed to: “She’s Got the Look” Model Search, 4804 Laurel Canyon Blvd. # 728, Valley Village, CA 91607 (you will also need to include one or more photos of yourself (max. 3) with your name clearly labeled on the back of the photo(s), if you have not previously submitted your photo(s) online); (ii) you can download and print the Entry Submission and Contestant Release and Waiver from www.tvlandmodelcasting.com and bring both documents, fully-executed, to the regional casting call (you will also need to bring one or more photos of yourself (max. 3) with your name clearly labeled on the back of the photo(s), if you have not previously submitted your photo(s) online), (iii) you can obtain hard copies of the Entry Form and Contestant Release and Waiver at the applicable regional casting call which you will be required to complete and sign prior to appearing before the panel of judges (you will also need to bring one or more photos of yourself (max. 3) with your name clearly labeled on the back of the photo(s), if you have not previously submitted your photo(s) online), or (iv) you can complete and submit the Entry Form on the www.tvlandmodelcasting.com web site (and submit one or more photos of yourself (max. 3) via the web site), provided that if you submit your Entry Form electronically, you will also need to download and print the completed Entry Form and Contestant Release and Waiver (a completed copy can be printed from the web site before you submit the Entry Form online) and either (a) mail both documents, fully-executed to: “She’s Got the Look” Model Search, 4804 Laurel Canyon Blvd. # 728, Valley Village, CA 91607 (you will also need to include one or more photos of yourself (max. 3) with your name clearly labeled on the back of the photo(s), if you have not previously submitted your photo(s) online), or (b) bring both documents, fully-executed, to the regional casting call (you will also need to bring one or more photos of yourself (max. 3) with your name clearly labeled on the back of the photo(s), if you have not previously submitted your photo(s) online). Entry Submissions must be received by the following dates: (a) all online submissions must be received by no later than 11:59pm (ET) on October 1, 2008, (b) all mailed submissions must be postmarked by no later than September 25, 2008 and received by no later than 11:59pm (ET) on October 1, 2008, and (c) all in-person submissions must be received on the date of the applicable regional casting call. Entry Submissions shall not be acknowledged or returned, and shall be the property of Producer. Entry Submissions that have been tampered with or altered are void. Any expenses you incur during the entry process (including, without limitation, postage, shipping and photo preparation) are your sole responsibility and will not be reimbursed. 3. Judging: a. Regional Calls: Approximately four (4) to five (5) regional casting calls (subject to change in Producer’s sole discretion) (“Regional Calls”) will be held throughout the country (the dates, times, and locations of such Regional Calls to be posted at www.tvland.com). Contestants will be required to appear in front of a panel of judges and will be judged based on criteria to be determined in Producer’s sole discretion. The judges will select certain individuals from among all of the contestants appearing at the Regional Calls (the “Regional Finalists”) (the exact number of Regional Finalists selected shall be subject to Producer’s sole discretion). Producer will notify those individuals selected as potential Regional Finalists in person or by telephone, at Producer’s sole discretion, by no later than one (1) week following the last Regional Call (subject to the terms set forth below). All potential Regional Finalists will be required to execute and return any documents required by Producer within a time period specified by Producer. If any potential Regional Finalist is unreachable by telephone after two (2) attempts by Producer to notify such Regional Finalist (please note that no messages will be left on answering machines), fails to return all documents fully-executed as required by Producer within the specified time period and/or does not comply with these Official Rules and/or the terms and conditions set forth in the Entry Form and/or Contestant Release and Waiver, such potential Regional Finalist will be disqualified and, at Producer’s discretion, a replacement may be notified. For purposes of clarification, if a contestant is selected to move on to subsequent rounds of the casting process, this does not guarantee that the contestant will become a Regional Finalist and Producer may eliminate such contestant (in Producer’s sole discretion) at any time and for any reason including, without limitation, based on the production and creative process, contestant’s background check results, contestant’s psychological evaluation, contestant’s misrepresentation of herself or her medical history or background information in any way by incompletely, inaccurately or misleadingly replying or failing to reply to any question relating thereto, or if the contestant’s continued participation in the Program (defined below) could be disruptive and/or pose a danger or threat to herself or others. The Regional Calls will be recorded and photographed, which recordings and photographs may be used, without limitation, in and in connection with the reality television series currently titled “She’s Got the Look” (the “Program”). A live audience may be present at some or all of the Regional Calls, in Producer’s sole discretion. b. Regional Finalist Competition: The Regional Finalists will be required to travel to New York City on or about October 20, 2008 where they will be presented with a challenge (the “Regional Finalist Competition”). Following the challenge, the contestants will be judged by a panel of judges based on criteria to be determined in Producer’s sole discretion. The judges will then select certain individuals from among the Regional Finalists (the “Finalists”) to move on in the competition (the exact number of Finalists selected shall be subject to Producer’s sole discretion). All potential Finalists will be required to execute and return any documents required by Producer within a time period specified by Producer. If any potential Finalist fails to return all documents fully-executed as required by Producer within the specified time period and/or does not comply with these Official Rules and/or the terms and conditions set forth in the Entry Form and/or Contestant Release and Waiver, such potential Finalist will be disqualified and, at Producer’s discretion, a replacement may be notified. The Regional Finalist Competition will be recorded and photographed, which recordings and photographs may be used, without limitation, in and in connection the Program. A live audience may be present at the Regional Finalist Competition, in Producer’s sole discretion. c. Final Competition: The Finalists will be required to remain in New York City for the final rounds of the competition (the “Final Competition”) (i.e., Finalists will not be permitted to return home between the Regional Finalist Competition and the Final Competition). During the Final Competition, Finalists will be trained in the modeling field and will be judged by a panel of judges based on criteria to be determined in Producer’s sole discretion. Over the course of the Final Competition, all contestants will be eliminated, except for one (1). The final contestant will be named the grand prize winner. The Final Competition will be recorded and photographed, which recordings and photographs may be used, without limitation, in and in connection with the Program. A live audience may be present at the Final Competition, in Producer’s sole discretion. If selected as a Finalist, you must be willing to live in a house, apartment or other living space (as selected by Producer) (the “Living Space”) for the duration of the Final Competition (unless earlier eliminated or disqualified) with other female strangers, where you will have little or no privacy. The Living Space is extensively outfitted with video and audio recording devices which will record your actions and voices at all times, twenty-four hours a day, seven days a week, in every room of the Living Space as well as any and all locations and settings outside of the Living Space for the duration of your participation in the Program. Such recordings may be used, without limitation, in and in connection with the Program. 4. Transportation and Accommodations: Producer shall have no obligation to provide any contestant with transportation, accommodations and/or expenses in connection with the Regional Calls. Producer will provide the Regional Finalists and Finalists with transportation and accommodations as follows: (i) in connection with the Regional Finalist Competition, each Regional Finalist will be provided with transportation (ground or air transportation, as determined by Producer) to New York City (and return transportation for those individuals not selected as Finalists), standard hotel accommodations (room and tax only excluding all incidental and other charges), ground transfers to/from all activities in connection with the Regional Finalist Competition and a $45 per diem; and (ii) in connection with the Final Competition, each Finalist will be provided with return transportation (ground or air transportation, as determined by Producer) from New York City to each individual’s home destination, accommodations (Producer will provide a living space where all Finalists will reside together), ground transfers to/from all activities in connection with the Final Competition and a rights honorarium of Seven Hundred Fifty Dollars ($750) per week (pro-rated for partial weeks) for a period of approximately four (4) weeks (or such lesser period, if earlier eliminated or disqualified from the Contest). Contestants are responsible for all costs and expenses associated with participation in all rounds of the Contest not specified herein as being provided, as well as all applicable federal, state and local taxes that may be due on any meals, entertainment and/or other services and items provided by Producer in connection with the Contest. 5. Dates/Locations: By entering the Contest, each entrant agrees that if selected as a contestant she is making a commitment to the Program for at least eight (8) episodes (unless earlier eliminated or disqualified from the Contest) and will be available to participate in all production activities for the Program including, without limitation, one of the Regional Calls, the Regional Finalist Competition, the Final Competition and any other required production activities (e.g., reunion shows) on dates to be determined by Producer. It is currently anticipated that: • The Regional Calls will take place approximately between September 28, 2008 and October 8, 2008 (the precise dates, times, and locations of such Regional Calls to be posted at www.tvland.com and subject to change). • The Regional Finalist Competition and Final Competition will take place in New York City approximately between October 20, 2008 and November 21, 2008 (the precise dates, times, and locations to be determined by Producer in its sole discretion and subject to change). During the Regional Finalist Competition and the Final Competition, contestants will be expected to remain on location in New York City unless eliminated and/or excused by Producer. THE PROGRAM DATES AND LOCATIONS SET FORTH HEREIN ARE TENTATIVE ONLY AND SUBJECT TO CHANGE AT ANY TIME AND FROM TIME TO TIME BY PRODUCER. Prize: One (1) grand prize winner will receive a 3 year representation agreement from Wilhelmina (the terms of such representation shall be at Wilhelmina’s discretion) along with a $100,000 cash prize. Producer reserves the right to supplement the grand prize with additional prizing at any time. By accepting the prize, the grand prize winner agrees to appear, without limitation, at publicity and promotional events promoting the Contest, the Program, third party sponsors of the Contest and/or Program, Wilhelmina, TV Land and/or MTV Networks on dates and times to be determined by Producer, as Producer requests. The prize is not transferable, redeemable for cash or substitutable, except by Producer who reserves the right to substitute a prize (or portion thereof) of comparable or greater value, at its sole discretion. The grand prize winner is responsible for all federal, state and local taxes as well as any other costs and expenses associated with the acceptance and use of the prize not specified herein as being awarded. All prize details are at Producer’s discretion. 7. Rights: By entering the Contest, all entrants understand and agree that Producer, its successors, assignees, licensees, designees, agents and affiliates, shall have the irrevocable and unrestricted right to use and exploit the Entry Submissions (including, without limitation, the photos submitted with the applications), all recordings and photographs taken of the entrants (whether during tryouts, performances, interviews, behind-the-scenes activities or at any other time during or in connection with the Contest) and all materials contained in the foregoing, along with each entrant’s name, city and state of residence, voice, singing voice, appearance, image, photograph, likeness and biographical information, as the same may be edited, cut, rearranged, adapted, dubbed or otherwise revised, if applicable, in any manner or media now or hereafter known (including, without limitation, in and in connection with the Program; in all ancillary, subsidiary, derivative and other uses of the Program; in advertising and publicity for the Program, Wilhemina, TV Land and/or other MTV Networks programming, operations and activities; and for any other purpose), throughout the world, in perpetuity, without additional compensation, notification or permission. 8. General Conditions: By participating in this Contest, each entrant agrees: (i) to be bound by these Official Rules, the Entry Submission, the Contestant Release and Waiver, the Release and Services Agreement (if applicable) and any other documents required by Producer (including, without limitation, the confidentiality agreement, the Medical Questionnaire and the Emergency Medical Release) and by the decisions of the Producer and judges, which are final and binding in all matters relating to this Contest, (ii) to indemnify, defend and hold harmless TV Land, MTV Networks, Viacom International Inc., Allison Grodner Productions, Wilhelmina, and their respective parents, affiliates, subsidiaries, assignees, licensees, sponsors and advertising and promotion agencies, and the respective officers, directors, agents, employees and representatives of the aforementioned entities (collectively, the “Released Parties”) from any and all liabilities, claims, losses, damages, demands, causes of action, penalties and expenses arising out of or related to entrant’s participation and appearance in or elimination from the Contest/Program and/or activities associated with the Contest/Program; the malfeasance, negligence and/or other tortious acts or omissions committed by entrant and/or entrant’s agents, employees, guests or invitees during or in connection with the Contest/Program; and entrant’s breach or alleged breach of any agreement, covenant, representation or warranty contained in the Entry Submission Form, the Contestant Release and Waiver, the Official Rules, the Release and Services Agreement (if applicable) and any other documents required by Producer (including, without limitation, the confidentiality agreement, the Medical Questionnaire and the Emergency Medical Release), and (iii) not to sue and irrevocably and unconditionally release, waive and forever discharge the Released Parties, from any and all liabilities, claims and demands of any kind or nature whatsoever, in law or equity, whether known or unknown, which entrant (or entrant’s successors-in-interest, heirs and/or agents) ever had, now have, or in the future may have against the Released Parties, including, but not limited to claims arising out of or related to personal injury and/or damage, theft, loss or any other harm suffered in connection with or relating to participation in the Contest (or any portion thereof) (including any travel or activity related thereto), the use or acceptance of the prize and/or the use of any of the rights granted herein (including, without limitation, the use, reuse, broadcast and/or other exploitation of entrant’s appearance, name, voice, singing voice, appearance, image, likeness, photograph and/or biographical data). Released Parties assume no responsibility for incorrect or inaccurate entry information however caused, or for Entry Submissions or mail that are illegal, incomplete, lost, late, delayed, stolen, damaged, inaccurate, inaudible, incomplete, undelivered, misdirected or postage-due; or for any other error or problem of any kind relating to or in connection with this Contest, whether technical, mechanical, typographical, printing, human or otherwise, including, without limitation, errors or problems which may occur in connection with the administration of the Contest, the processing of Entry Submissions and/or the judging of any round of the Contest, the announcement of the prize or in any Contest-related materials. Producer reserves the right, in its sole discretion, to disqualify any individual or to revoke any prize granted to any individual it finds to be tampering with the entry process; to be acting in violation of these Official Rules, the Entry Submission, the Contestant Release and Waiver, the Release and Services Agreement (if applicable) or any other documents required by Producer (including, without limitation, the confidentiality agreement, the Medical Questionnaire and the Emergency Medical Release); or to be acting in an unsportsmanlike or disruptive manner or with the intent to annoy, abuse, threaten or harass any other person. Producer also reserves the right, in its sole discretion, to disqualify any individual or to revoke any prize granted to any individual who fails any background check required by Producer, provides any false or misleading information in connection with the Contest or has an existing agreement (oral or written) with another modeling agency or management company. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, PRODUCER RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW. THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OVER ANY CONTROVERSIES REGARDING THE CONTEST AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE CONTEST. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF SUCH COURTS. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. YOU UNDERSTAND THAT PRODUCER RESERVES THE RIGHT, IN ITS SOLE DISCRETION, TO CHANGE, ADD, DELETE FROM, MODIFY OR AMEND THE OFFICIAL RULES AND/OR CANCEL, TERMINATE OR SUSPEND THE CONTEST AT ANY TIME, FOR WHATEVER REASON, WITHOUT AWARDING ANY PRIZE. ALL PRIZE DETAILS ARE AT PRODUCER’S SOLE DISCRETION AND SUBJECT TO CHANGE AT ANY TIME AND FROM TIME TO TIME. Privacy: Any personal information collected from Contest entrants may be used by Producer and TV Land (and their respective successors, designees, licensees and assigns) for the purpose of administering the Contest and any services related to the Contest. In addition, any personal information collected from Contest entrants may be used as otherwise permitted under these Official Rules, the Contestant Release and Waiver, the Release and Services Agreement (if applicable) and any other agreement(s) entered into in connection with the Contest. Additionally, all entry and other personally identifiable information collected in connection with the Contest may be used in accordance with any “opt-in” or “opt-out” language contained on the entry web site. All other terms set forth in the “Privacy Policy” found on the www.tvland.com web site shall apply to this Contest and to the submission of all entries, including all personal information which may be submitted. In the event of any inconsistency between the terms of this Paragraph 9 and the “Privacy Policy” found on the www.tvland.com web site, the terms of this Paragraph 9 shall govern.
